Terms of Service
These Terms of Service govern your use of the Ulthera Forge website and the advisory consulting services we offer. By browsing this site, requesting a proposal, or engaging us for work, you agree to the terms set out below. Please read them carefully; they describe what we do, what we do not do, and the mutual expectations that keep an engagement running cleanly.
01Who we are and what we do
Ulthera Forge is a consultancy focused on workflow automation planning and operational process improvement. Our work is advisory and process-focused. We analyze how work flows through an organization, recommend ways to standardize and streamline it, document the resulting procedures, and review operational efficiency.
Everything we deliver is guidance, analysis, planning, and documentation. We help you see your own processes clearly and give you a considered path forward. The decision to adopt, adapt, or ignore any recommendation always rests with you.
02Scope of services
Our engagements fall within four disciplines, each advisory in nature:
- Workflow Automation Planning — analysis of repetitive processes, recommendations for automating routine operations, and plans to reduce manual actions.
- Process Standardization Consulting — assessment of existing procedures, creation of standards for recurring work, and recommendations to unify internal operations.
- Automation Documentation Services — instructions for using automation tools, workflow diagrams, and step-by-step operating guides.
- Operational Efficiency Review — analysis of internal performance, identification of optimization opportunities, and reports with recommendations.
03What our services do not include
To set expectations plainly, our services do not include, and no part of this agreement should be read to include, any of the following:
- Custom software development or application programming.
- Industrial automation installation, wiring, or commissioning.
- Robotics integration or the configuration of physical machinery.
- Cybersecurity services, penetration testing, or security auditing.
- Managed information-technology services or help-desk operations.
- Operation, hosting, or day-to-day administration of your technology infrastructure.
Where a recommendation touches on any of the areas above, we may describe the outcome you might pursue and the questions to ask a qualified specialist, but we will not perform that specialist work ourselves.
04Engagements and proposals
A request submitted through this website, by email, or by phone is an invitation for us to prepare a proposal. It does not by itself create a binding engagement. An engagement begins only when both parties agree, in writing, to a specific scope, timeline, and fee.
Each proposal sets out the deliverables, the assumptions we relied on, the information we need from you, and the fee. If the scope changes once work is underway, we will document the change and agree on any adjustment before continuing.
05Fees and payment
Prices displayed on this website are starting points for typical engagements and are provided for orientation. The fee for your engagement is the amount stated in your accepted proposal. Unless the proposal says otherwise, invoices are due within thirty days of the invoice date.
Fees cover our time, analysis, and the preparation of deliverables. Out-of-pocket costs that we agree on in advance, such as travel, are billed separately at cost.
06Your responsibilities
Good advisory work depends on good inputs. To let us serve you well, you agree to provide accurate information about your processes, reasonable access to the people who perform the work we are studying, and timely responses to our questions.
You are responsible for reviewing our recommendations in the context of your own operations, legal obligations, and risk tolerance before acting on them.
07Confidentiality
We treat the information you share during an engagement as confidential. We use it only to perform the work, we limit access to the people who need it, and we do not disclose it to third parties except as required by law or with your permission.
We ask the same of you in return regarding the methods, templates, and materials we share with you, which remain distinctive to our practice.
08Intellectual property
On full payment, the specific deliverables we prepare for you — your process maps, your standards, your documentation, and your reports — are yours to use within your organization.
The underlying methods, frameworks, checklists, and know-how we bring to the work remain ours. Nothing in an engagement transfers our general expertise or the reusable tools of our trade.
09No guarantee of specific results
We bring craft, care, and experience to every engagement, but the results you achieve depend on how you implement our recommendations and on many factors outside our control. We do not warrant that a particular efficiency gain, cost saving, or outcome will be realized.
10Limitation of liability
To the fullest extent permitted by law, Ulthera Forge is not liable for indirect, incidental, special, or consequential damages arising from your use of this website or our services. Where liability cannot be excluded, our total liability for any engagement is limited to the fees you paid for that engagement.
11Termination
Either party may end an engagement with written notice as described in the proposal. On termination, you pay for the work completed up to the effective date, and we deliver the work product prepared to that point.
12Governing law
These terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Any dispute that cannot be resolved in good faith between us will be handled in the courts located in Lexington, Kentucky.
13Changes to these terms
We may update these terms from time to time as our practice evolves. The version published on this page, bearing the date at the top, is the current one. Continuing to use the site or engage our services after an update means you accept the revised terms.
